Delaplex Limited (formerly known as Delaplex Private Limited) (“Delaplex” or “the Company”), listed on the National Stock Exchange of India (NSE: DELAPLEX), announces the completion of the acquisition by its wholly owned subsidiary, Delaplex Software Limited, incorporated in England and Wales, of 100% ownership of Bisham Limited and Bisham Consulting Limited, two United Kingdom-based companies operating in logistics, supply chain and Warehouse Management Systems (“WMS”) consulting.
The acquisition brings together Delaplex’s end-to-end technology, AI, data, engineering, implementation and supply chain capabilities with Bisham’s more than two decades of specialist consulting and delivery experience in logistics, supply chain and WMS. The combination is intended to strengthen Delaplex’s presence in the United Kingdom, support the Company’s ability to pursue opportunities across selected European markets, deepen customer engagement and broaden the range of domain-led transformation services available to customers.
Transaction Highlights
Delaplex Software Limited has acquired 100% ownership of Bisham Limited and Bisham Consulting Limited, which operate under the trade name Bisham Consulting. The acquisition has been completed, with the entire consideration payable in cash. The transaction and related disclosures are being undertaken in accordance with applicable corporate, accounting and regulatory requirements.

Strategic Rationale
The acquisition aligns with Delaplex’s strategy of strengthening its capabilities in supply chain technology while expanding its international market presence and delivery footprint. Bisham’s established presence across the UK and Europe, long-standing customer relationships and specialised expertise in logistics and supply chain transformation complement Delaplex’s capabilities across consulting, technology, AI, data, engineering and implementation. The combined capabilities are expected to enable Delaplex to engage with customers at an earlier stage of their transformation journey, undertake end-to-end transformation programmes and capitalise on additional business opportunities across the UK and selected European markets.
